Ruina Ma is a partner based in the Beijing office of Global Law Office. Her principal practice areas include domestic and cross-border equity financing, mergers and acquisitions, foreign direct investment, as well as domestic and international corporate restructuring and overseas listings. Her career has focused on the healthcare and life sciences, high technology, and consumer sectors, where she has represented numerous investment institutions, companies at all stage of growth—from early-stage startups to publicly traded corporations, and large domestic and multinational corporations. She has also advised a number of leading investment funds on the exit of portfolio investments, employing a range of structures including preferred liquidation, share transfers, negotiated redemptions, and dispute resolution.

 

In the healthcare and life sciences industry, Ruina Ma’s experience spans the entire industry chain, covering sectors such as medical institutions (including internet hospitals), pharmaceutical R&D, drug manufacturing, medical distribution, medical devices and consumables, genetic testing, digital health, and elderly care services. Her representative cases include representing CITIC Capital in its investments in genetic testing company Genesis and healthcare chain Little Apple; acting for leading private equity funds in their investments in drug R&D companies Metis, QL Biopharma, and Novast, as well as medical device R&D and manufacturing companies SceneRay, Innovita, Fusson and Biohit; advising Hony Capital on its investments in drug R&D companies InSilixa and Bionecure; representing CICC Capital in its investment in drug R&D company Futuregen; acting for an industry investor in its investment in pharmaceutical and medical device B2B platform Xiaoyaoyao; advising Mitsui Group on its investment in YIHE (a chain medical group); representing Oriental Capital in its investment in LuDaoPei Medical Group; and assisting drug R&D startups Iogen Pharmaceuticals and Hepai Tech in completing multiple early-stage financing rounds.

 

In the technology sector, Ruina Ma’s practice spans semiconductor, chip R&D and manufacturing, Internet of Things, artificial intelligence, and machine learning. Her representative work includes acting for leading private equity funds in their investments in chip R&D company Nanocorechip, chip manufacturer Xinxiang Technology, IoT company Persagy, DBS design and manufacturer SceneRay, and robotics R&D company Quatient Kinematics Machine; advising an industry investor on its investment in online industrial materials sales platform Xiaopangxiong; representing CITIC Capital in its investment in 3D materials printing company Clickalign; and assisting CITIC PE and eBay in the establishment of a joint venture (cross-border logistics e‑commerce platform).

 

In the consumer sector, Ruina Ma has legal experience in industries such as dining, entertainment, and beauty products. Notable engagements include representing Firstred Capital in its investment in cross-border e‑commerce platform Joyin; advising Orchid Asia and VMS Group on their investment in Colori (Longrich Group’s cosmetics business); representing leading private equity funds in their investments in Ramen Talk and Dahiti; advising Hony Capital on its investment in Hot Crush; representing Rocket Capital in its investment in smart cycling company LEMO; and assisting cosmetics brand Simpcare in its Series A financing.

 

In capital markets sector, Ruina Ma regularly advises Chinese companies on overseas listings in the U.S. and Hong Kong, including the completion of required filings with the China Securities Regulatory Commission. She also assists listed companies with CSRC filings related to overseas offerings. Representative clients include CASI Pharmaceuticals, Inc. (Nasdaq: CASI) and China Yuchai International (NYSE: CYD).

 

Ruina Ma is licensed to practice law in both China and California. Her exceptional work in high-tech transactions has earned her the John Hart Ely Prize from Stanford University.
