Annie Huang is specialized in capital markets, M&A, PE/VC and experienced in TMT, high-tech, manufacturing and energy.

During her practice period in GLO, Annie has been involved in a large number of capital markets, M&A projects, Annie has led or participated in A-share IPO projects among various industries. She is also experienced in Red-chip restructuring.

In the area of M&A，Annie

• Participated in the merger of Huabei Expressway (000916) by China Merchants Highway;
• Advised an acquisition project of Deli Group；
• Advised WeChai Power in acquiring GTAKE；
• Advised Nucien Pharmaceutical in acquiring Synermore(in disclosure);
• Acquisition of Broadex（300548.SZ）by YOFC (601869.SH, 06869.HK);
• Advised a listed company’s acquisition of a securities consulting company.

In the field of capital markets, as one of the key lawyers, Annie has advised and participated in  various A shares IPO as well as overseas IPO projects. In addition, she is able to assist foreign lawyers with legal due diligence regarding clients’ overseas subsidiary on the basis of her understanding on the essence of legal issues from domestic regulatory perspectives. For instance, she has fully assisted the client with lawyers based in Mexico in the process of legal due diligence with regards to the listing of Mexin Yishen (873833) on the New Three Board and the Beijing Stock Exchange.

In the field of PE investment and financing, Annie has represented lots of PE funds regarding various PE investment, funding as well as fund manager’s registration and filing matters, CRS tax-related due diligence, etc., Annie has advised CITIC M&A Fund, China Internet Investment Fund, China Life Insurance (Group) Company etc. on a number of PE/VC transactions, the legal services rendered by her include conducting legal due diligence, drafting, reviewing and negotiating documents, issuing legal or advisory opinions as well as assisting with the closing matters.

Annie is with well-established expertise on corporate business compliance as well as handling stock option incentive plan (both public and private company). Annie has assisted clients in the restricted stock incentive plan of LongYuan Power (300105).

Annie Huang joined GLO in Sep, 2016. Prior to joining GLO, Annie Huang worked in another PRC law firm in the area of PE/VC.
