Mr. Zhang has more than two decades of legal experience, focusing on practice in the fields of capital market, merger & acquisition and private equity/venture capital and providing legal service to a large clients base, including numerous famous domestic or foreign public companies, equity funds, and MNCs. His notable clients include Bytedance, Focus Media, Sogou, Skyworth Digital, ICBC International, PingAn Insurance, BGE, Septwolves, Tesiro, Fountainvest, DT Capital, VisionPlus, GIC, Ventech, KION, ESR, Mitsubishi UFJ. The volume of transactions Mr. Zhang participated and is participating exceeds USD 10 billions.
In the field of capital market, Mr. Zhang led over 50 cases of securities issuance by public companies, including initial public offering, additional share offering/placement, issuance of convertible bonds and issuance of corporate bonds. The notable cases in such field include first ever A Share IPO by a foreign registered company in China (China Resources Microelectronics Limited), Sogou’s IPO at NASDAQ and ESR’s IPO at HKEX (the third biggest IPO case at HKEX by proceeds raised in Y2019). In the field of merger & acquisition, the notable cases Mr. Zhang led include the China’s very first case in which a red chip Hong Kong listed public company (Skyworth Digital) spins off part of its China business to list in A share market through reverse merger, acquisition of majority shares of YangGuang (A share stock code: 000608) by a consortium led by ICBC (representing the consortium), acquisition of Greater China business of Karl Lagerfeld by Septwolves (representing Septwolves), acquisition of Target Media and CGEN media by Focus Media (representing Focus Media), acquisition of Leysen (a Belgium jeweler) by Tesiro (A share stock code: 603900).
Mr. Zhang joined Global Law Office in 2003. Prior to joining Global Law Office, he worked with Jingtian & Gongcheng in the areas of securities and M&A.
