Global Law Office acted as the sole PRC legal counsel advised on the Project of Xiamen Port Terminals Resources Reorganization. This Project is led by the State-owned Assets Supervision and Administration Commission of Xiamen Government in light of the whole strategic layout of the Xiamen Government. The reorganization is aimed to establish a Sino-foreign joint venture company “Xiamen Container Terminal Group Co., Ltd” through merger and synchronous contribution. The transactions involve the merger of four terminal operation companies into a new company and the synchronous contribution of assets and liabilities of some terminals, which separately belong to two HK listed companies and three domestic listed companies. The reorganization involves 25 terminal berths in total. The valuation of the total contribution to the JV Company amounts to RMB7.017 billion. The structure of this transaction is very sophisticated, including foreign investor cross-border RMB direct investment, anti-monopoly declaration, RMB overseas investment and acquisition, subsequent transfer of state-owned equity and many other legal procedures. Xiamen Container Terminal Group Co., Ltd has registered and established on December 13, 2013. The subsequent transactions involved in the reorganization have been all completed successfully on January 27, 2014.
